LLP vs Private Limited: Kaunsi Entity Choose Karein?

Business start karte waqt ek big decision hota hai: LLP (Limited Liability Partnership) ya Private Limited Company? Dono limited liability dete hain, matlab promoters ka personal risk controlled rehega, lekin structure aur compliance alag hai.

LLP flexible hai – partnership feel, internal profit-sharing customizable, compliance comparatively light. Professional firms, small stable businesses, consulting setups ke liye kaafi suitable. Shares nahi hote, “partners’ contribution and share” hota hai.

Private limited company investors-friendly structure hai. Shares easily issue/transfer ho sakte hain, ESOP possible hai, fund-raising, valuation, exits sab simpler ban jate hain. Compliance zyada – board meetings, ROC filings, audits – but growth mindset wala setup is structure me comfortable hota hai.

Tax, future funding plans, investor expectations, and exit dreams ko dekh ke entity decide karna chahiye. Sirf “CA ne bol diya” ya “friend ne yahi banayi” pe choice mat chhodo.
